Results of the Private Placement and Listing on the AltX of the JSE
1. Introduction
This announcement has been prepared with reference to the Pre-listing Statement issued by Copper 360 dated 5 April 2023 and the announcement released on SENS on the same day, regarding the private placement of Copper 360 ordinary shares to invited investors, subject to certain conditions. Unless otherwise indicated, defined terms used in this announcement are as set out in the Pre-listing Statement.
2. Results of the Offer
The bookbuild in relation to the Offer closed at 12:00 on Monday, 17 April 2023.
The private placement was 1.3 times oversubscribed, and Copper 360 has successfully raised an aggregate amount of R152 500 000, by placing 38 125 000 of its shares with invited investors at an issue price of R4.00 per private placement share.
3. Listing and Settlement
The Settlement Date for the Offer and the Listing Date is expected to be Friday 21 April 2023. Any change in that date will be announced on SENS.
Successful applicants will be notified of their allocations by Tuesday, 18 April 2023. The allocated shares will be credited to successful applicants on a ‘delivery-versus-payment’ basis on the date of listing being Friday, 21 April 2023.
An application has been made to the JSE for the listing of 629 692 119 Copper 360 ordinary shares in the “Industrial Metals and Mining” sector in the “Copper” subsector on the AltX of the JSE from the commencement of trade on the JSE on Friday, 21 April 2023. Shares will trade under the abbreviated name: “Copper360”, JSE share code: CPR and ISIN: ZAE000318531.
